These Terms form a binding agreement between you (the "User") and Knowledge Innovations for Information Technology (the "Company", "we", "Surely"), and govern your use of the Surely website, applications, and related services for matching clients with licensed lawyers in the Kingdom of Saudi Arabia and operating the engagement, payment, and dispute workflows. These Terms are subject to KSA law, including: the Companies Law, the E-Commerce Law, the Electronic Transactions Law, the Anti-Commercial Fraud Law, the Anti-Cyber Crime Law, the Personal Data Protection Law, and the Code of Law Practice and its implementing regulations. By using the platform, you confirm that you have read, understood, and agreed to these Terms, the Privacy Policy, and any supplemental operational policies that may be published.

1) Definitions

"Surely" / "Platform": the technology platform operated by the Company to enable clients to access verified legal professionals in KSA and to manage the engagement lifecycle.

"Client": a user seeking legal services, in a personal capacity or as a representative of a registered business entity.

"Lawyer": an independently licensed practitioner regulated by the Saudi Bar Association who has completed the platform verification workflow.

"Engagement": the legal-services arrangement formed between Client and Lawyer through the platform on agreed scope and fee.

2) Eligibility and accounts

You must be familiar with these Terms, have full legal capacity to contract (generally at least eighteen (18) years of age), and not be subject to any legal restriction preventing you from contracting.

Registration requires accurate, complete information. Impersonation, false data, or unauthorized representation is prohibited.

You are responsible for safeguarding account credentials and for activities performed through your account unless unauthorized access is established under applicable law.

Surely may enforce multi-factor authentication or additional verification where required for security or compliance.

3) Identity and licence verification

National identity / Iqama verification may be required before full use of certain services, including before a Client's first payment or as part of Lawyer onboarding.

Lawyer onboarding is subject to validation of the Saudi Bar licence, scope, and professional record, and may be re-verified periodically or upon risk indicators or complaints.

Search visibility and ranking remain subject to approval status, capacity, and platform safety rules, and are not a guarantee of professional quality.

4) Nature of service and platform role

Surely provides technology infrastructure for discovery, matching, engagement workflow, payments, dispute handling, and supporting operations.

Surely is not a law firm, does not provide legal advice, and does not form an attorney-client relationship with you. Legal opinions and professional deliverables are the sole responsibility of the engaged Lawyer under the Code of Law Practice and professional ethics rules.

Lawyers practise independently; their relationship with Clients remains governed by KSA professional rules.

5) Electronic contract formation

Under the Electronic Transactions Law and the E-Commerce Law, electronic acceptance of these Terms, Lawyer proposals, and engagement terms is legally binding and effective.

Upon Client acceptance of a Lawyer proposal, an immutable terms snapshot and hash are recorded for that engagement and constitute statutory evidence of the agreed content.

Any later change in scope or fee must follow the formal variation flow and, where applicable, explicit mutual acceptance.

6) Pricing, fees, and taxes

Fees, charges, and Value Added Tax (15%) are shown before commitment or payment.

Platform fees or revenue-share mechanics may apply per the published schedule for the relevant user, transparently displayed before commitment.

VAT-compliant invoices are issued per ZATCA requirements and retained for statutory periods.

7) Payments, refunds, and settlement

Payments are processed exclusively through payment providers licensed by the Saudi Central Bank (SAMA).

Funds held for settlement are subject to applicable controls; Surely does not charge interest (riba), consistent with KSA public-order requirements.

Refund outcomes depend on engagement status and dispute determination, and may require elevated approval controls for higher values.

Certain high-value matters may be routed to an offline path subject to compliance and operational policy.

8) Consumer rights under E-Commerce regulation

Surely applies the requirements of the E-Commerce Law and its implementing regulation, including clear supplier identification, price transparency, electronic receipts, and complaint handling channels.

Given the professional nature of legal services, some automatic withdrawal rights may not apply once service performance has begun at the Client's request; dispute and remediation channels remain available.

9) Cancellation and termination of requests

Cancellation rights vary by lifecycle stage and whether payment has occurred or service performance has begun.

Once a dispute is opened, some automatic cancellation paths are suspended while dispute workflows apply.

Surely retains cancellation logs for compliance, auditability, and service-quality controls.

10) Internal disputes and escalation

Either Client or Lawyer may open a dispute where the relevant workflow permits and provide supporting evidence.

Surely applies initial service windows for first response and resolution, which may be extended in complex matters.

Possible outcomes may include no action, partial/full refund, or account-level operational/professional actions.

Surely's internal dispute mechanism does not waive any party's right to seek redress before the competent courts and authorities in KSA.

11) Acceptable use and prohibited conduct

You must not use the platform for unlawful, fraudulent, abusive, or rights-infringing conduct, or to disturb public peace.

You must not upload sensitive data without lawful basis, including third-party system credentials, full bank data, or anything contrary to law.

Surely may remove content, restrict access, or refer matters to competent authorities, including offences under the Anti-Cyber Crime Law.

12) Session communications and recording

Certain channels may support recording or transcript retention for service delivery, quality, and compliance, subject to applicable consent workflows.

Where dual consent is required by law or operation, recording will not start until both consents are satisfied.

You may not redistribute session recordings or transcripts outside lawful and authorized purposes.

13) Intellectual property

Platform software, design assets, trademarks, and operational content are owned by or licensed to the Company and are protected under KSA law.

You may not copy, decompile, reverse engineer, resell, or commercially exploit any part of the platform without prior written permission.

User content remains owned by the user, with a limited, non-exclusive licence to the platform to operate, secure, and administer the service and resolve disputes.

14) Suspension, restriction, and termination

Surely may suspend, restrict, or terminate accounts for suspected violations of these Terms, security obligations, or regulatory requirements.

Immediate protective measures may be applied where required to protect users, platform integrity, or compliance, including temporary feature freezes.

Termination does not affect accrued rights/obligations, including payment duties and cooperation in ongoing disputes.

15) Disclaimers and limitation of liability

The platform is provided on an "as available" basis subject to reasonable maintenance and force-majeure constraints.

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential losses arising from your use of the platform.

Nothing in these Terms limits any mandatory rights granted by KSA law or liability that cannot lawfully be excluded (e.g. fraud or personal injury).

16) Force majeure

Neither party will be in breach for failure caused by force majeure, including natural disasters, epidemics, civil unrest, governmental orders, or major outages in telecommunication or infrastructure services.

The affected party must notify the other promptly and take reasonable steps to mitigate the impact.

17) Notices and communications

In-platform notices and notices to your registered email are valid means of communication. Formal legal notices to the Company should be sent to customerservice@surelylaw.sa.

You must keep your contact details up to date and bear responsibility for missed notices resulting from failure to do so.

18) Assignment, severability, and waiver

You may not assign any of your rights or obligations under these Terms without the Company's prior written consent. The Company may assign in case of corporate restructuring or merger as permitted by law.

If any provision is held invalid by a competent authority, the remaining provisions remain in force, and the invalid provision will be replaced by one closest to its lawful intent.

Failure to exercise a right does not waive it and does not prevent later exercise.

19) Governing law and jurisdiction

These Terms are governed by and construed under the laws and regulations of the Kingdom of Saudi Arabia, including the general principles and rulings of Shariah where applicable.

The competent courts and authorities in KSA shall have exclusive jurisdiction over disputes arising from these Terms, unless mandatory law provides otherwise.

20) Changes to these Terms

The Company may update these Terms from time to time. The latest version is published on this page with its effective date.

Material changes will be notified through appropriate means a reasonable period before they take effect. Continued use after the effective date constitutes acceptance.
